ITEM 7.01 Regulation FD Disclosure.
On February 16, 2023, Truist Financial Corporation (“Truist”) announced that it
had reached a definitive agreement to sell a 20% minority stake in its insurance
brokerage subsidiary, Truist Insurance Holdings, Inc., to an investor group led
by Stone Point Capital LLC. Truist furnished, as Exhibit 99.2 to its Form 8-K
dated February 16, 2023, a copy of presentation materials used on a conference
call to discuss the transaction. Truist has revised those presentation materials
to disclose additional clarifying detail, and a copy of the revised materials is
furnished as Exhibit 99.1 to this Current Report on Form 8-K.
The revised presentation materials at Exhibit 99.1 are being furnished and shall
not be deemed “filed” for the purposes of Section 18 of the Securities Exchange
Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the
