On March 6, 2023, IAA, Inc. (“IAA”) issued a press release announcing that proxy
advisory firms Glass, Lewis & Co. and Institutional Shareholder Services
recommend that IAA stockholders vote to adopt the merger agreement and thereby
approve the previously announced acquisition of IAA by Ritchie Bros. Auctioneers
Incorporated. A copy of the press release is attached as Exhibit 99.1 to this
