Item 7.01 Regulation FD Disclosure.

On January 24, 2023, Sotherly Hotels Inc., a Maryland corporation (the
“Company”) and the sole general partner of Sotherly Hotels LP, a Delaware
limited partnership, issued a press release (the “Press Release”) announcing the
reinstatement of quarterly dividends on the Company’s preferred stock. A copy of
the Press Release is furnished as Exhibit 99.1 to this report and is
incorporated by reference herein.

In accordance with General Instruction B.2 and B.6 of Form 8-K, the information
included in this Item 7.01 (including Exhibit 99.1 hereto), shall not be deemed
“filed” for the purposes of Section 18 of the Exchange Act, nor shall it be
