On January 23, 2023, SmartFinancial, Inc. (“SmartFinancial”) issued a press
release (the “Press Release”) reporting earnings results for its fourth quarter
ending December 31, 2022. A copy of the Press Release is attached hereto as
Exhibit 99.1.
In accordance with General Instructions B.2 of Form 8K, the information in Item
2.02 of this report (including Exhibit 99.1) shall not be deemed to be “filed”

review in conjunction with its earnings release conference call on January 24,
