On August 1, 2022, Americas Technology Acquisition Corp. (“ATAC”) and Rally
Communitas Corp., a Delaware corporation (“Rally”) issued a joint press release
(the “Press Release”) announcing the filing by Americas Technology Acquisition
Holdings Inc., a Delaware corporation and a wholly-owned subsidiary of ATAC
(“Pubco”) of a preliminary registration statement/prospectus on Form S-4 in
connection with the previously disclosed proposed business combination between
ATAC and Rally.
A copy of the press release is furnished as Exhibit 99.1 hereto. The information
in this Item 7.01 and Exhibit 99.1 hereto shall not be deemed “filed” for
purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the
